Terms of Service

Welcome to Skyretel (“Skyretel,” “we,” “our,” or “us”). These Terms of Service (“Terms”)
govern your access to and use of the Skyretel website, applications, communication platforms,
and related services.

By accessing or using our services, you agree to these Terms.

1. Services

Skyretel provides cloud-based communication services, including but not limited to:

  • VoIP services
  • Unified Communications (UCaaS)
  • Contact Center services (CCaaS)
  • Business messaging
  • AI-powered communication tools
  • Call transcription and summaries
  • Voice, video, SMS, and collaboration services

Services may evolve over time and may include third-party integrations.

2. Eligibility

You must:

  • Be at least 18 years old.
  • Have authority to bind your organization.
  • Provide accurate registration and billing information.

You are responsible for maintaining the confidentiality of your account credentials.

3. Acceptable Use

You agree not to use Skyretel services to:

  • Violate any laws or regulations.
  • Send spam or unauthorized communications.
  • Engage in fraudulent, abusive, or illegal activities.
  • Harass, threaten, or harm others.
  • Distribute malware or malicious code.
  • Interfere with network performance or security.
  • Transmit unlawful or prohibited content.

Skyretel reserves the right to suspend or terminate accounts that violate these Terms.

4. SMS, A2P 10DLC & Messaging Compliance

Customers using SMS or messaging services must comply with all applicable carrier and
regulatory requirements, including:

  • A2P 10DLC regulations.
  • TCPA requirements.
  • CTIA messaging guidelines.
  • Anti-spam laws.

Customers are responsible for:

  • Obtaining proper user consent.
  • Maintaining opt-in records.
  • Honoring opt-out requests.
  • Ensuring lawful messaging practices.

Skyretel may suspend messaging services for non-compliant traffic, spam, phishing,
or carrier violations.

5. Emergency Services Disclaimer

Skyretel’s VoIP services may differ from traditional telephone services.

911 and emergency calling functionality may:

  • Depend on internet connectivity and power availability.
  • Be unavailable during outages.
  • Require accurate address registration.

Customers are responsible for ensuring emergency address information remains current.

6. AI Features & Call Recording

Certain services may include AI-powered functionality such as:

  • Transcription.
  • Summaries.
  • Sentiment analysis.
  • Topic detection.
  • Workflow automation.

Customers are solely responsible for complying with all laws regarding:

  • Call recording.
  • Consent requirements.
  • Notification obligations.
  • Privacy regulations.

Skyretel is not responsible for customer misuse of recording or AI features.

7. Payments & Billing

Customers agree to:

  • Pay all applicable fees and taxes.
  • Maintain valid payment methods.
  • Pay invoices on time.

Late or unpaid balances may result in:

  • Service suspension.
  • Account termination.
  • Collection activity.

Fees are generally non-refundable unless otherwise required by law or stated in a
separate agreement.

8. Service Availability

While Skyretel strives for reliable service, we do not guarantee uninterrupted or
error-free operation.

Services may occasionally be affected by:

  • Maintenance.
  • Carrier outages.
  • Internet disruptions.
  • Third-party failures.
  • Security incidents.

Skyretel is not liable for downtime beyond applicable service agreements.

9. Intellectual Property

All Skyretel branding, software, content, technology, and materials remain the
property of Skyretel or its licensors.

Customers may not:

  • Reverse engineer services.
  • Copy proprietary software.
  • Resell services without authorization.
  • Use branding without permission.

10. Data & Privacy

Use of Skyretel services is also governed by our Privacy Policy.

Customer data may be processed or stored using trusted cloud providers including:

  • Microsoft Office 365.
  • Microsoft Azure.
  • Google Cloud Platform (GCP).

Customers retain ownership of their data.

11. Third-Party Services

Skyretel may integrate with third-party providers, carriers, or applications.

We are not responsible for:

  • Third-party outages.
  • External integrations.
  • Third-party content or policies.

Use of third-party services may be subject to separate terms.

12. Limitation of Liability

To the maximum extent permitted by law, Skyretel shall not be liable for:

  • Indirect damages.
  • Loss of profits.
  • Loss of data.
  • Business interruption.
  • Special or consequential damages.

Skyretel’s total liability shall not exceed the fees paid by the customer during
the prior three (3) months of service.

13. Indemnification

You agree to indemnify and hold harmless Skyretel, its affiliates, employees,
and partners from claims arising out of:

  • Your use of services.
  • Violations of these Terms.
  • Regulatory violations.
  • Unauthorized or unlawful communications.

14. Suspension & Termination

Skyretel may suspend or terminate services if:

  • Payments are overdue.
  • Fraud or abuse is suspected.
  • Regulatory violations occur.
  • Customer activities threaten network integrity.

Customers may terminate services subject to applicable contract terms.

15. Modifications

We may update these Terms periodically. Continued use of services after updates
constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by the laws of Ontario, Canada, without regard
to conflict of law principles.
